Is this a company where there is a separation between management and ownership?
If so, how responsive is management to stockholders? Who is on the board?
Are the directors mostly independent? What are the other potential conflicts of interest that you see in this firm?
Is there any pressure from the institutional investors to improve governance?
?yes there is clear difference between owner and management almost 75% stake has been held by institutional holders there are 5 major institutional investors in the company.
As per my knowledge they are having clear strategy for the stockholder, following people are on the board
howard schultz
william w. bradley
robert m. gates
mellody habson
kevin r. Johnson
olden lec
joshua cooper remo
james g shennan
clara shih
craige weatherup
yes there are mostly independent people on board
potential conflict is one recently issue regarding paying policy to family stakeholders which are unfair with the paying policy with regular workers, wich indicates risk of paying high to family shareholders
if institutional investors are there then there must be some pressure from them undoubtedly but there are no unusual pressure in this company
