A counter offer is the refusal of the original offer and replacing it with another offer.The counteroffer offers three choices to the original offer:accept , refuse, or make another offer.

When the offeree gives consent to the proposal made by the offerer, the offer is said to be accepted.And when the offer is accepted it becomes valid,

So counteroffer is not a valid acceptance as it is a refusal of the initial offer and therefore the offeree doesn't give consent and some other offerer may come up with new or improved offer.
