Contract is a type of agreement, which legally binds two or more parties towards a common goal. Contract is a legally binded entity and hence the operations performed under contract are ethical.

Breaching a contract is non-conformance to the requirements and criteria of the mutually agreed contract. Before signing the contract, the parties conformed to the mutual norms of doing business. But one of them is not able to deliver the same, in performance. This leads to breach in contract. However, not every breach can be considered unethical. Some breaches happen due to some critical business scenarios, which lead to non-performance in the specified contract time. This is failure to perform contract and not an unethical breach.
