Corporate governance is a directive of rules by which a company is governed.

It involves maximixmax the value of each stakeholder be it promoter , investor or lenders.

Along with this aim it also steers company strategy and operations of day to day.

There is elected board of directors which sets out these governance policies . They keeps eye on management and don't let them go to deceitful way for their self interest. So it's possible they stop the management even a plan is hurting value of stakeholder but benefitting the management.
