One of the conditions which one can explore is the overall social cost of shutting down the business. Often it can be very costly to shut a business since many people may lose out on employment. Additionally, the consumers would face less competitive market if the business were shut down. There are social costs such as increase in crime which may be associated in localities that may experience massive unemployment if big businesses are shut,  Considering these overall costs, it would make sense to pay a bribe to retain business.
