Mother board is considered as the heart of the CPU , generally replacing a mother board is most complicated and also time consuming , the very reason would be the componets which are connected to mother baord (may be serial or parallel in fashion )
One needs to needs to upgrade to have additional feautres such as USB 2.0 or Serial ATA , to increase hard drives lmore than 128gb or more or Video Slot (PCI Express) which your previous motherboard doesnt provide
If you replace with new mother board then you need to change many things like fan which would not be compatable in newer mother board you are buying also you need to reinstall all the expansion slots and etc so it is prefereed to use old mother board since it wont case any issue in installation
