In cell biology we study about the structure and function of the cell ,means the organelles and compounds present inside the cell and what function they are performing.

While biochemistry is related with chemical reactions occurring inside that cell.

Example - Study of organelles like mitochondria, ER, ribosomes etc present in eukaryotic cell is cell biology and inside mitochondria oxidative phosphorylation is occurring to generate ATP study of those reactions is biochemistry.
