Every company should be headed by an effective board headed by Chairman, and reponsibilitilies for running business should be clearly divided between the board. This board is responsible for long term success of the business.

2. Effectiveness

The board and its committee is effective in the term of skill, experience, independence and knowledge of the company to discharge their duties and responsibilities effectively.

3. Accountability

The board should present a fair, balanced and understandable financial position to all the readers of the financial statements. The board is accountable for a true and fair financial statements presented to stakeholder, creditor, government agencies, future investor etc.

4. Relations with Shareholders

The board should have a relation with the shareholders, should be aware of all the major issues and concerns.
